PLEASE READ THESE TERMS AND CONDITIONS (“AGREEMENT” OR “TERMS”) CAREFULLY BEFORE USING THE SITE AND THE SERVICES OFFERED BY MYMEDI-PAL, LLC and its affiliates (collectively, “MYMEDI-PAL” or “we” “our” or “us”). This Agreement sets for the legally binding terms and conditions for your use of https://www.mymedipal.com and any other URLs and websites owned and operated by or blogs, newsletters, podcasts or media produced or created by MYMEDI-PAL, LLC and its affiliates.

The following terms and conditions govern all use of the Site and all content, services and products available at or through the Site by the user (“user” “you” or “your”). The Site is offered subject to your acceptance of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, the policies identified in Section 2 below) and procedures that may be published from time to time on this Site by MYMEDI-PAL (collectively, the “Agreement”).​

If you do not agree to all the terms and conditions of this agreement, then you may not access the Site or use any of the services. This Agreement applies to all users of the Site.

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter.

A. Web-Based Educational platform

MYMEDI-PAL provides opportunities for users, who comply with MYMEDI-PAL’s policies to access informational and educational materials in a variety of formats (“educational content”), access to blogs, newsletters, podcasts, webinars (live and/or recorded) , in-person educational lectures and sign up for one-on-one appointment sessions

MYMEDI-PAL makes no representation, warranty or covenant, or guarantee either express or implied, that use of the Site and/or any offered service will result in better health, physical fitness, any positive effects on mental well-being, symptom relief, or any particular results or consequences, at all.

MYMEDI-PAL does not guarantee continuous, uninterrupted access to the Site, and operation of the Site may be interfered with by numerous factors outside MYMEDI-PAL’s control. You use the MYMEDI-PAL site and services at your own risk.

MYMEDI-PAL services and content provided are not intended to replace a one-on-one relationship with qualified healthcare professional or a substitute for consultations with qualified health professions who are familiar with your individual medical history or health needs.

Even if MYMEDI-PAL takes every precaution to ensure that the content of the web-based platform and its services is both current and accurate, errors can occur. Plus, given the changing nature of laws, rules and regulations, there may be delays, omissions or inaccuracies in the information contained on web-based platforms, associated educational content and/or services provided. MYMEDI-PAL is not responsible for any errors or omissions, or for the results obtained from the use of this information.

C. Appointment scheduling/registration

MYMEDI-PAL services are available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law. You represent and warrant that you are at least 18 years old. Individuals under the age of 18 must at all times use MYMEDI-PAL services only in conjunction with and under the supervision of a parent or egal guardian who is at least 18 years of age. In such cases, the adult is the user and is responsible for any and all activities and transactions that involve the applicable minor on the Site.

By reviewing and signing the terms and conditions, indicates that you clearly understand and agree that you are personally responsible for payment of all services rendered. You also understand that if you suspend or terminate any services, any fees for professional services rendered to you will be immediately due and payable. You agree to pay all balances over 90 days from the original due date, as well as court costs and reasonable collection and attorneys’ fees with or without suit, incurred in collecting any due balance

You will need to provide your first and last name, email address, credit card information, billing address and phone number.

Any client of MYMEDI-PAL agrees and understands in providing an email that is shared by another individual accepts that using a shared email will allow the sharing and access to their personal health information and shall not hold MYMEDI-PAL liable for any information obtained in such circumstances.

You must keep your account information up-to-date and accurate at all times, including a valid email address. In order to utilized the paid services on the Site, you must provide and maintain valid payment option such as valid credit card information with MYMEDI-PAL merchant services provider, Square. ​If you are registering as a business entity, you personally guarantee that you have the authority to bind the entity to this Agreement.

MYMEDI-PAL reserves the right to refuse service to anyone, for any reason or no reason, at any time and to terminate any accounts.

MYMEDI-PAL is cash only services (via valid credit card unless discussed otherwise) and does not taking any insurance at this time.

Appointment slots available are 15 minutes, 30 minutes, 45 minutes, or Hourly. Clients may have a variety of concerns. Based on the concerns, it is best that each client determine how much time is desired to address their concerns before booking an appointment. If unsure of how much time may be needed to address your concerns, it is best to schedule a free 15 min-intro call. An intro call is encouraged for those clients, who may desire in-person visits, navigational and/or medical chart review services. In order to value the time of all of our clients, any client, who goes over the allotted time for their appointment, will be automatically charged an additional fee of a 15-minute appointment. However, if a client goes over the initial additional 15 minutes charged, thereafter, the client will continually be charged the appointment 15min appt fee for every 15mins over allotted appt time until client feels concerns have been addressed or client desires to end appointment.

Navigational and/or medical chart review services will be charged hourly due to these issues being more complex.

Fees for Services are subject to change, please check website for current fees. In addition, in person office visits cost will vary compared virtual appointment costs and can be discussed during intro call.

No refunds will be provided for services rendered.

D, Third Party Sites

MYMEDI-PAL is not responsible for the availability of outside websites or resources linked to or referenced on the Site. MYMEDI-PAL does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. MYMEDI-PAL does not monitor or investigate such websites and is not responsible for the content, functionality, or practices of such websites or widgets. You agree that MYMEDI-PAL shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or resources. If you decide to leave the Site and access any third-party website, you do so at your own risk. MYMEDI-PAL suggests that you read the terms of use and privacy policies (if any) on those third-party websites.

MYMEDI-PAL does not prioritize any affiliate relationship over the needs of our users when making recommendations or providing information to users.

MYMEDI-PAL will be utilizing Zoom platform for telehealth sessions. In utilizing MYMEDI-PAL services, clients consent to using Zoom for those telehealth sessions. Clients understand the technical requirements and risks associated with this technology. In utilizing MYMEDI-PAL services, clients understand that their personal health information will be protected by the security measures of the telehealth platform used and aware of the potential risks, including technical issues and privacy concerns. Clients have the right to withdraw their consent to telehealth sessions at any time and understand the implications of doing so and the available alternatives. If any further questions/concerns, please feel free to contact MYMEDI-PAL.

E. Resolutions of Disputes and Release

In the event a dispute arises between you and MYMEDI-PAL, please contact MYMEDI-PAL. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in Mecklenburg County, North Carolina, using the English language in accordance with the Arbitration Rules and Procedures of American Arbitration Association (“AAA”) then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected in accordance with the Arbitration Rules and Procedures of AAA. The arbitrator’s award shall be final and binding. The prevailing party in any arbitration or other proceeding arising under this Agreement shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys’ fees, expert witness fees and all other expenses) incurred in connection therewith. Judgment upon the award so rendered may be entered in a court having jurisdiction or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be. Notwithstanding the foregoing, each party shall have the right to institute an action in a court of proper jurisdiction for injunctive or other equitable relief pending a final decision by the arbitrator. For all purposes of this Agreement, the parties’ consent to exclusive jurisdiction and venue in the United States Federal Courts or state courts located in the District of North Carolina. Use of the Site is not authorized in any jurisdiction that does not give effect to all provisions of the Agreement, including without limitation, this section. You and MYMEDI-PAL agree that any cause of action arising out of or related to the Site (including, but not limited to, any services provided or made available therein) or this Agreement must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.

You hereby consent to, and waive all defenses of lack of personal jurisdiction with respect to venue and jurisdiction in the state and federal courts of North Carolina. You further agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim is initiated in court rather than in arbitration you and MYMEDI-PAL waive any right to a jury trial.

In the event a dispute arises between you and another user or a third party, MYMEDI-PAL encourages you to contact the user or third party to resolve the dispute amicably. If you have a dispute with one or more users or users you release MYMEDI-PAL (and MYMEDI-PAL officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

If users or a user and a third party have a dispute resulting from Content or relating to a user’s use of the Site, they must resolve such dispute amongst themselves. MYMEDI-PAL has no obligation to resolve disputes between users or between users and outside parties. MYMEDI-PAL will not make judgments regarding legal issues or claims.

You may also report user-to-user disputes to your local law enforcement, postmaster general, or a certified mediation or arbitration entity, as applicable.

You release MYMEDI-PAL (and MYMEDI-PAL officers, directors, agents, subsidiaries, joint ventures and employees) from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with disputes with one or more users, or an outside party.

F. MYMEDI-PAL’s Intellectual Property (IP)

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by MYMEDI-PAL, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site.

​G. Digital Millennium Copyright Act (“DMCA”) Policy/ IP

​Please notify MYMEDI-PAL of infringing or unlawful content, please provide MYMEDI-PAL with the following information:

-Your name, address, telephone number and e-mail address;
-A description of the exact location on the Site of the infringing or unlawful content;
-A description of the claimed infringing or unlawful content, specifying which parts you believe infringe or are unlawful and which parts you believe should be removed;
-In the event that you believe that the content infringes your rights, please include a detailed statement specifying your asserted rights and why the content infringes them;
-In the event that you believe that the content is unlawful, please include a detailed statement specifying why you believe that the content breaches a particular law; and
-A sworn and signed statement that the information provided is accurate and that you are directly or indirectly damaged by the content.

H. Subpoena and/or Medical Record Fees

If MYMEDI-PAL has to provide any information concerning you, your account, and/or your use of the Site or services, in response to a subpoena, court order, or other legal, governmental, or regulatory inquiry related to your account, then we may charge you for our costs. These fees may include legal fees, and labor fees, for the time our employees spend retrieving such information and records, preparing documents, and/or participating in any depositions or discovery proceeding.
